　　1. 茲經買賣雙方同意按照以下條款由買方購進，賣方售出以下商品： This contract is made by and between the Buyers and the Sellers, whereby the Buyers agree to buy and the Sellers agree to sell the goods referenced hereunder subject to the terms and conditions as stipulated hereinafter:

　　3. 不可抗力：由于不可抗力的緣由發生在制造、裝載或運輸的過程中導致賣方延期交貨或不能交貨者，賣方可免除責任；在不可抗力發生后，賣方須立即電告買方及在14天內以空郵方式向買方提供事故發生的證明文件；在上述情況下，賣方仍須負責采取措施盡快發貨。

　　Force Majeure: The Sellers shall not held responsible for any delay in shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The sellers shall advise the Buyers forthwith of the occurrence mentioned above within fourteen days thereafter. The Sellers shall send by airmail to the Buyers for their acceptance certificate of the accident. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods.

　　4. 不可抗力：本合同內所述全部或部分貨物，如因不可抗力原因，以致不能履約或不得不延期交貨，賣方概不負責。

　　Force Majeure: The Seller shall not be held liable for failure delay delivery of the entire lot or a portion of the commodity under this Contract in consequence of and force majeure.

　　5. 仲裁：凡有關執行合同所發生的一切爭議應通過友好協商解決，如協商不能解決，則將分歧提交中國國際貿易促進委員會按有關仲裁程序進行仲裁，仲裁將是終局的，雙方均受其約束，仲裁費用由敗訴方承擔。

　　Arbitration: All disputes in connection with the execution

　　of this Contract shall be settled through friendly negotiations. In case no settlement can be reached, the case may then be submitted for arbitration to the Arbitration Commission of the China Council for the Promotion of International Trade in accordance with the Provisional Rules of Promulgated by the said Arbitration Commission. The Arbitration Committee shall be final and binding upon both parties, and the arbitration fee shall be borne by the losing party.

　　6. 仲裁：在履行本合同中所發生的或者與合同有關的一切爭執，由雙方協商解決。如果協商后仍不能解決時，得提請仲裁。仲裁在中國進行，由中國國際經濟貿易仲裁委員會根據該仲裁委員會的仲裁程序規則進行仲裁。仲裁裁決為最終決定，對買賣雙方都有約束力。除該仲裁委員會另有決定外，仲裁費用由敗訴一方負擔。 Arbitration: Any and all disputes arising from or in connection with the performance of the Contract shall be settled through negotiation by both parties, failing which they shall be submitted for arbitration. 　　However, the seller’s obligation to deliver is conditional upon receipt from the Buyer of a letter of credit or advance payment in accordance with Clause 9 of this Contract days before the time of delivery stipulated hereof. If a carrier is selected and booked by the Buyer itself in accordance with the terms of this Contract, the Seller will have the commodity ready for shipment by such time of delivery.

　　8. 付款條件：憑以賣方為受益人的、100%保兌的、不可撤銷的、無追索權的、可以轉運的及分批發運的即期信用證，議付期至裝運日期后第15天在中國到期。買方在信用證上請填注本合同號碼，貨物名稱要按本合同規定確定。

　　9. 保險：按照中國人民保險公司的保險條款，按發票金額的110%投保但不包括罷工、x亂和民變險，保至目的口岸為止。如買方要增加保額或保險范圍，應于裝運前經賣方同意，因此而增加的保險費由買方負責。

　　Insurance: For 110% of invoice value, up to the port of destination, as per the insurance clauses of the People’s Insurance Company of China, excluding SRCC Risks. If additional insurance amount or coverage in required, the Buyershall have the consent of the Seller before shipment, and the additional premium thus incurred shall be borne by the Buyer.

　　10.包裝：所有在本合同項下出售的貨物將以賣方認為適合于第五條規定的運輸方式的包裝材料包裝。如果對包裝有其他要求，買方應征得賣方同意并承擔由此而增加的一切額外費用。

　　Packing: All the commodities sold thereunder will be packed with packing materials deemed by the Seller suitable for the mode of transportation stipulated in Clause 5 hereof. 　　Party B must try his best to increase the working efficiency to meet Party A's requirement. If there are special circumstances that Party B has to work overtime， Party B can arrange by themselves. If Party B requests OT payment， he/she must fill in the OT application form and have it approved by GM. OT Application Form without authorized signature is not valid.

　　六、加班費 OT Compensation

　　乙方經甲方批準在工作日加班，甲方必須支付給乙方基本工資150%的報酬；休息日被安排工作而甲方又不能夠給予乙方同等時間的補休，則甲方須支付給乙方基本工資200%的報酬；若在國家法定休假日被安排工作，甲方付給乙方基本工資300%的報酬。

　　If Party B works over time and has approved by Party A， he/she will be offered the same period of compensation leave or OT salary according to Labor Law of PRC China.

　　七、假期與福利 Holiday & Benefits

　　1. 有薪國家法定假日 Statutory Holiday of PRC China with pay

　　2. 有薪婚假/產假/喪假 Leave for Marriage， Maternity and Mourning with pay.

　　八、勞動紀律 Discipline

　　乙方應嚴格遵守甲方制定的各項規章制度和勞動紀律（詳請請參照《員工手冊》執行）

　　九、保密協議 Confidentiality

　　乙方需嚴格保守工作過程中接觸和了解到的公司商業秘密（包括生產技巧、工藝流程、技術秘密、管理方法、產銷策略、貨源情報、設計圖紙、成本價格和客戶資料），否則將受到行政處罰（如無條件解雇、賠償等）；觸犯刑法的，甲方將有權移交司法機關處理。乙方調離甲方，應得到甲方同意，并將所有商業秘密資料移交甲方，同時承擔不向外泄露的義務，并保證半年內不得利用甲方商業秘密在生產同類且與甲方有競爭關系的產品的其他企業內任職。否則，甲方有權要求乙方賠償因此而帶來的一切經濟損失。

　　十、本合同終止 Termination

　　1. 終止本本合同條件 Termination conditions

　　A. 試用期間，雙方皆可即時通知對方解除本本合同；

　　During the probation period， either side can terminate the contract by immediate effect.

　　B. 試用期滿后，任何一方欲解除本合同，須提前三十日以書面形式通知對方。否則，違約方須向守約方支付違約金（違約金為乙方一個月的工資），若造成守約方經濟損失的，應依法承擔賠償責任。

　　Either side can terminate the contract by giving 30 days notice in written form after probation period.

　　2. 甲方在下列情況下可隨時直接地通知乙方解除本本合同，無須履行任何法定義務和手續，無須向乙方補償If any case of the following circumstances， Party A has the right to inform Party B rescission of the contract：

　　Article 10. Before distributing the loan, if Borrower has great conflict with house seller over problems such house’s quality and property, Borrower is authorized to cancel this contract, and shall decide whether continue the contract within

　　half one year.

　　Article 11 After the delivery of the loan, if dispute occurs between borrower and Party C, the contract is still effective.

　　Article 12. If Borrower needs to refund in advance, it shall note Lender one month before refund day and the notice is irrevocable upon delivery.

　　Article 13 If one or more items as follows occur, Lender has right to expire the contract in advance, and deliver “information of repayment in advance” to Borrower and Securities.

　　Article 18.After the sign of this contract, mortgage registration certification and other right certifications should be handed over to mortgagee.

　　Article 20.The value is changed because of mortgager’s faults or others, mortgagee is not responsible.

　　Article 29. Borrower should hand over the right certification to Lender, and Lender should protect it carefully.

　　Article 30. If the time of cashing valued bonds is ahead of the time of repayment, methods of disposal as follows:

　　(1) Cash the bonds to repay the loan.

　　(2) Change into the fixed deposit as material mortgage.

　　(3) Use the recognized equal deposit and bonds to change saving deposit and bonds.

　　Article 31. Borrower has no right to report loss of any materials.

　　Article 32. If the situation of article 13 occurs, Lender has right to dispose the material mortgages.

　　四、雇傭合同的解除和終止

　　4.1 合同期滿雙方不再續簽或者雙方約定的合同終止條件出現時，雇傭合同即終止。

　　貨到目的港起12個月內，使用過程中由于材料質量和工藝問題而出現的損傷，買方應當立即以書面形式通知賣方并出具前條規定的檢驗機構開列的檢驗證書，提出索賠，賣方應當承擔違約責任。賣方應在收到索賠要求后天內回復買方。

　　第十八條. 不可抗力：

　　（1）在貨物制造和裝運過程中，由于不可抗力的原因（如戰爭、嚴重火災、水災、臺風和地震或其他由雙方認可的事件）致使延期交貨或不能交貨，賣方概不負責。賣方于不可抗力事件發生后，應立即通知買方并在事發天內，以航空郵件將事故發生所在地當局簽發的證書寄交買方以作證據。

　　（2）在此情況下，買賣雙方應當根據具體情況確定合同是否能夠繼續履行以及賣方是否仍有責任采取必要措施促使盡快交貨。

　　（3）不可抗力事故發生后超過天而合同尚未履行完畢，買方有權解除合同。

　　第十九條.合同延期和罰款：

　　除本合同十八條所述不可抗力原因外，賣方若不能按合同規定如期交貨，應當提前通知買方，買方可同意延期交貨，且可以同時相應減少議定的貨款支付金額，并通知付款銀行相應減少議定的支付金額。該減少的部分作為合同延期履行的違約金，但違約金數額不得超過遲交貨物總額的5％。賣方若逾期10個星期仍不能交貨，買方有權解除合同，且有權要求賣方如期支付上述違約金。

　　第二十條.合同爭議的解決方式：

　　凡涉及本合同或因執行本合同而發生的一切爭議，應通過友好協商解決，如果協商不能解決，則可提交中國-西安仲裁委員會根據該會的仲裁規則和程序進行仲裁。仲裁將在西安進行，仲裁裁決是終局的，對雙方都有約束力。仲裁費用由仲裁庭決定具體承擔。

　　In case the rental is more than ten working days overdue, Party B will pay 0.5 percent of monthly rental as overdue fine every day, if the rental be paid 15 days overdue, Party B will be deemed to have with drawn from the premises and breach the contract. In this situation, Party A has the right to take back the premises and take actions against party B's breach.

　　五、保證金 Deposit

　　The Sellers shall guarantee that for a period of 12 months calculated from the date of installation or 15 months starting from the date of shipment, whichever is the earlier. Faults due to mal-operation as well as wear and tear parts are excluded.

　　(17) 遲交貨及罰款：LATE DELIVERY AND PENALTY

　　除合同第16條人力不可抗拒事故外，如賣方不能按合同規定的時間交貨，買方應同意賣方支付罰款的條件下延期交貨。罰款可由議付銀行在議付貨款時扣除，罰款率按每7天收0.5%，不足7天時以7天計算。但罰款不得超過遲交貨物總價的5%。如賣方延期交貨超過合同規定10周時，買方有權撤消合同，此時，賣方仍應不遲延地按上述規定向買方支付罰款。

　　買方有權對因此遭受的其它損失向賣方提出索賠。

　　Should the Sellers fail to make delivery on time as stipulated in the Contract, with the exception of Force Major causes specified in Clause 16 of this Contract, the Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay a penalty which shall be deducted by the paying bank from the payment under negotiation. The penalty, however, shall not exceed 5% of the total value of the goods involved in the late delivery, the rate of penalty is charged at 0.5% for every seven days, odd days less than seven days should be counted as seven days. In case the Sellers fail to make delivery ten weeks later than the time of shipment stipulated in the Contract, the Buyers shall have the right to cancel the contract and the Sellers, in spite of the cancellation, shall still pay the aforesaid penalty to the Buyers without delay. The buyer shall have the right to lodge a claim against the seller for the losses sustained if any.

　　(18) 檢驗和索賠: INSPECTION AND CLAIMS:

　　如發現貨物的品質、數量/重量與本合同不符, 買方有權在貨物到達目的地后60天內根據中華人民共和國出入境檢驗檢疫局出具的商檢證書向賣方提出索賠。由承運人和保險公司負責的賠償除外。

　　If the quality and/or quantity/weight be found not in conformity with the present contract, the Buyer shall be entitled to lodge claims with the Seller on the basis of the Certificate issued by China Exit and Entrance Inspection and Quarantine Bureau within 60 days after the goods arrival in the destination. With the exception, however, of those claims for which the carrier and/or insurance company are to be held responsible.

　　(19) 人力不可抗拒事故：FORCE MAJEURE：

　　由于人力不可抗拒事故，而賣方交貨延遲或不能交貨時，責任不在賣方，但賣方應立即將事故通知買方，并于事故發生后十四天內將事故發生地政府主管機關出給的事故證明書用空郵寄交買方為證，并取得買方認可。在上述情況下，賣方仍負有采取一切必要措施從速交貨的責任。如果事故持續超過十個星期買方有權撤銷本合同。

　　The Sellers shall not be held responsible for any delay in delivery or non-delivery of the goods duo to Force Majeure. However, the Sellers shall advise the Buyers immediately of such occurrence and

　　issued by the competent government authorities of the place where accident occurs as evidence

　　necessary measures to hasten the delivery of the goods. In case the accident lasts for more than ten

　　(20) 仲裁：ARBITRATION:

　　6.2 住客應按時支付電話費含上網費、水電煤氣費。

　　electricity supply or fire protection, at his own expense, subject to necessary permits or licenses required by the authorities concerned and under the supervision of PARTY A .No structural alterations or additions can be removed from the premises upon the expiration of this contract. No reimbursement for the said additions.

　　6.8 乙方有權在墻壁上懸掛畫、圖片或其他裝飾性物品。合同履行期限屆滿或提前解約時，甲方應承擔費用拔掉釘子、粉刷墻壁或使墻壁恢復原狀，并承諾不以此為由扣留乙方的押金。

　　PARTY B is entitled to hang pictures, paintings or other decorative articles on the walls. Upon expiration or early termination of the contract, PARTY A shall bear the cost to remove the nails, repaint the wall or restore the wall to the original state, and PARTY A shall not retain PARTY B’S deposit for the reason of doing things above.

　　6.9租賃合同期滿的前一個月內，經合理事先書面通知，乙方應允許甲方或其授權人引領潛在客人參觀在出租房屋。

　　PARTY B retains the priority to renew this lease upon expiration , while one-month prior notice to PARTY A is necessary, and PARTY A shall arrange the signature for the renewal contract.

　　9 爭議的解決 Dispute Resolution:

　　9.1 本合同適用法律為中華人民共和國相關法律。

　　(17) 逾期發運：如果由于買方原因造成逾期發運，買方承擔責任。造成自簽訂合同之日起超過45天不能發運的，賣方將每日按貨物金額的3%收取保管費；如果由于買方原因造成逾期發運超過6個月，賣方有權自行處置定金和貨物。如果是賣方原因造成的逾期發運，賣方需提前告知買方并得到買方的確認并承擔其他相關費用。

　　LAST SHIPMENT: if the late delivery is caused by the buyer, the buyer shall bear the

　　responsibility. If the delay has being made more than 45 days from the signing of the Sales Contract hereof, the buyer shall pay 3% of total amount each day, and if the delay is more than 6 months, the Seller has the right to dispose the down payment and the goods. If the late delivery is caused by the Seller, the Seller shall inform the Buyer in advance and get confirmation from the Buyer, and the related expense shall be born by the Seller.

　　(18) 質量/數量異議：對于質量方面的異議，買方必須在貨物抵達目的港后30天之類提出：對于數量方面的異議，買方必須在貨物抵達目的港后15天之內提出。對由于保險公司、運輸公司、其他運輸機構或郵局的原因所造成的貨物差異，賣方不負任何責任。 QUALITY/QUANTITY DISCREPANCY: In case of quality discrepancy, claim shall be filed by the Buyer within 30 days after the arrival of the goods at port of destination; while for quantity discrepancy, claim shall be filed by the buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable, for any discrepancy of goods shipped due to causes for which the Insurance Company, Shipping Company, other transportation organization or Post Office are liable.

　　(19) 不可抗力：賣方對由于下列原因而導致不能或暫時不能履行全部或部分合同義務的，不負責任：水災、火災、地震、干旱、戰爭或其他任何在簽約時賣方不能預料、無法控制且不能避免和克服的事件。但賣方因盡快地將所發生的事件通知對方，并應在事件發生后15天內將有關機構出具的不可抗力事件的證明寄交對方。如果不可抗力事件之影響超過120天，雙方應協商合同繼續履行或終止履行的事宜。

　　FORCE MAJEURE: Seller shall not be responsible for failure or delay in performance of entire or portion of these Sale Contract obligations in consequence of Force Majeure incidents: flood, fire, earthquake, drought, war, or any other matters couldn’t be foreseen or controlled or couldn’t be avoided. But Seller shall inform the incidents to Buyer immediately, and shall delivery the certificate of Force Majeure incidents issued by related organization within 15 days after the incidents happened. If the incidents influence more than 120 days, both parties shall negotiate to decide whether to execute or terminate the Sales Contract.

　　(20) 仲裁：因履行本合同所發生的一切爭議，雙方應友好協商解決，如協商仍不能解決爭議，則應將爭議提交中國國際經濟貿易仲裁委員會（北京），依據其仲裁規則仲裁。仲裁裁決是終局的，對雙方都有約束力。仲裁費應由敗訴一方承擔，但仲裁委員會另有裁定的除外。在仲裁期間，除仲裁部分之外的其他合同條款應繼續執行。

　　ARBITRATION: All disputes across from the execution of, or in connection with this Sales Contract shall be settled friendly through negotiation, in case no settlement can be reached, the case shall then be submitted to China International Economic and

　　Trade Arbitration Commission, Beijing for arbitration in accordance with its provisional rules of procedure. The result of arbitration shall be born by the losing party except for the condition the Commission has other judgment. During the arbitration period, clauses beside of the arbitrated parts shall be executed.

　　(21) 本合同為中英文對應，一式兩份，買賣雙方各執一份；合同自賣方簽字蓋章、買方簽字后生效（傳真件以及掃描具有正版相等法律效應）。

　　The Sales Contract is concluded in Chinese and English with same effectiveness, and will come into effect on stamp of Seller and signing by Buyer. The Sales Contract is in dual original and each party shall have one original copy of this Sales Contract. (Any scanned and faxed copy shall have the same legal effect as the original one.)
