48.joint venture may be dissolved in the following：
（1）合營(yíng)期滿(mǎn)；
a.this contract expires；
（2）合營(yíng)期滿(mǎn)之前，出現(xiàn)下述任何一種情況或事件，經(jīng)董事會(huì)決議，本合營(yíng)企業(yè)也可解散：
b.prior to the expiration of this contract，in case any of the following situations or incidents occurs and upon the general resolution of the board of directors，joint venture may be dissolved:
a.合營(yíng)企業(yè)遭受重大損失，無(wú)法繼續(xù)經(jīng)營(yíng)；
joint venture fails to maintain operation due to heavy losses；
b.任何一方違反經(jīng)營(yíng)合同規(guī)定，使本企業(yè)無(wú)法繼續(xù)經(jīng)營(yíng)；
joint venture fails to maintain operation due to any party’s breach of any provisions of operating agreements；
c.合營(yíng)企業(yè)達(dá)不到經(jīng)營(yíng)目的，投資無(wú)法回收；
joint venture fails to achieve the business aim and redeem the capital invested；
d.不可抗力，等。
in case of force majeure，etc.
第四十九條 合營(yíng)企業(yè)宣告解散時(shí)，董事會(huì)應(yīng)組織清算委員會(huì)，按《中華人民共和國(guó)中外合資經(jīng)營(yíng)企業(yè)法實(shí)施條例》第103條至108條規(guī)定執(zhí)行。
49.where joint venture is dissolved，a liquidation committee shall be established by the board of directors under article 103 to article 108 of the enforcement regulations of act of the sino-foreign joint venture of the people’s republic of china.
第五十條 合營(yíng)公司的期限為_(kāi)________年。合營(yíng)公司的成立日期為合營(yíng)公司營(yíng)業(yè)執(zhí)照簽發(fā)之日。
50.the term of joint venture is _________years.the date of the establishment of joint venture is deemed the same date of the issuance of the license of joint venture.
經(jīng)一方提議，董事會(huì)會(huì)議一致通過(guò)，可以在合營(yíng)期滿(mǎn)六個(gè)月前向?qū)ν饨?jīng)濟(jì)貿(mào)易部（或其委托的審批機(jī)構(gòu)）申請(qǐng)延長(zhǎng)合營(yíng)期限。
the term may be prolonged，upon the proposal of any party and by unanimous resolution of board of directors，with an application submitted six months before the maturity of joint venture to the ministry of foreign trade（or any agency authorized thereby).
第十六章 合營(yíng)期滿(mǎn)財(cái)產(chǎn)處理

第五十一條 合營(yíng)期滿(mǎn)或提前終止合營(yíng)，合營(yíng)公司應(yīng)依法進(jìn)行清算，清算后的財(cái)產(chǎn)，根據(jù)甲、乙各方投資比例進(jìn)行分配。
51.in case of expiration or cancellation in advance，joint venture shall be liquidated under the relevant laws and the property liquidated shall be distributed by and between party a and party b upon their shares invested in joint venture respectively.
